16. NON-COMPETE, NON-SOLICITATION & BRAND PROTECTION
16.1 Scope
This section applies to all individuals and entities who engage with NK Media Group, LLC and/or Nosheen Khan in any of the following capacities: affiliate partners, brand ambassadors, influencer partners, brand collaborators, consulting clients, contractors, co-creators, or program participants. For purposes of this section, "NK Media Group" refers to NK Media Group, LLC and Nosheen Khan individually and collectively.
16.2 Non-Compete
During the term of any active agreement and for 12 months following its termination or expiration, Partners agree not to:
Develop, launch, or promote any product, service, program, or platform that directly competes with NK Media Group's or Nosheen Khan's existing or publicly announced offerings — including training programs, consulting services, SaaS products, media properties, or affiliate programs
Use knowledge, frameworks, proprietary methods, or strategies learned through their engagement with NK Media Group to build a competing business or advise a competing entity
Join, consult for, or take an ownership stake in a business that directly competes with NK Media Group's core service lines
16.3 Brand Ambassador & Affiliate Restrictions
Individuals serving as brand ambassadors or affiliates additionally agree that during the term and for 12 months after:
They will not represent, promote, or serve as an ambassador for a directly competing brand, program, or product without prior written consent
They will not replicate, rebrand, or repurpose NK Media Group's or Nosheen Khan's program structures, curriculum, content frameworks, or promotional strategies for any competing offering
Any audience, community, or client relationships built or accessed through their role may not be redirected to a competing offering
16.4 Non-Solicitation
During the same 12-month period, Partners agree not to:
Solicit, recruit, or hire any NK Media Group or Nosheen Khan team members, contractors, or collaborators
Directly solicit clients, students, or prospects that were introduced through the partnership or program
16.5 Non-Disparagement
Partners agree not to make false, misleading, or damaging statements about NK Media Group, Nosheen Khan, their products, team, or brand — during or after the engagement. This includes statements made on social media, in content, in private business settings, or through third parties.
16.6 Reasonableness
The parties acknowledge that these restrictions are reasonable in scope, duration, and geography given the access Partners receive to proprietary information, brand equity, and client relationships.
16.7 Remedies
A breach of this section may cause irreparable harm for which monetary damages would be an inadequate remedy. NK Media Group reserves the right to seek injunctive relief and any other remedies available under applicable law, in addition to terminating the partnership and recovering any commissions or compensation already paid.
